Terms of Service

1. Acceptance of terms

By accessing or using Consigns (consigns.co.uk), you agree to be bound by these Terms of Service. If you do not agree to these terms, you must not use Consigns. Consigns is operated by Kaizen Web Ltd (Company No. 17007703), registered at Suite A, 82 James Carter Road, Mildenhall, Bury St. Edmunds, England, IP28 7DE.

2. Description of service

Consigns is an online service for creating, managing, and storing digital waste documents: hazardous and special waste consignment notes and waste transfer notes. For England and Wales it produces the hazardous waste consignment note in compliance with the Hazardous Waste (England and Wales) Regulations 2005, structured around the official HWCN01 form. It also supports the equivalent documents for Scotland (the Special Waste Regulations 1996) and Northern Ireland (the Hazardous Waste Regulations (Northern Ireland) 2005), and waste transfer notes across the United Kingdom. The service supports job management, driver assignments, on site signature capture, PDF generation, waste tonnage reporting, and compliant record storage.

Consigns may also connect to third-party services at your request, including the Department for Environment, Food and Rural Affairs (DEFRA) Digital Waste Tracking service, accounting software such as Xero, mapping providers, and payment providers such as Stripe. These integrations are provided to help you, are optional, and are used entirely at your own risk. See section 13 for how liability for these and for the documents Consigns produces is allocated.

Consigns is offered on a range of subscription plans, billed monthly or annually in advance. The current plans, prices, and included allowances are shown in full on our pricing page, which is the authoritative source for what each plan costs and includes. Every new account starts with a 14-day free trial of the plan you choose, as described in section 7.

Prices may change with a minimum of 30 days' written notice. We will notify you of any price changes by email before they take effect.

All sales are final. No refunds will be issued under any circumstances. When you cancel your subscription, you retain access to the paid features until the end of your current billing period. No partial refunds will be given for unused time remaining in a billing period. By subscribing to a paid plan, you acknowledge and agree to this no-refund policy.

7. Trial access

Every new account starts with a 14-day free trial of the plan you choose. A valid payment method is required to begin a trial. During the trial you have full access to that plan, limited only by that plan's normal monthly allowances (for example the number of movements included).

If you do not cancel before the trial ends, the trial converts to a paid subscription and your payment method is charged for the plan you chose. You can cancel at any time before the trial ends and you will not be charged. If a trial ends without a paid subscription, or your account later becomes unpaid, your account becomes read-only: you keep access to your existing records but cannot create new ones until you start or resume a paid plan.

8. Data ownership

You retain full ownership of all data you enter into Consigns, including consignment note information, customer details, and signatures. By using Consigns, you grant Kaizen Web Ltd a limited licence to process, store, and display your data solely for the purpose of providing the service.

9. Data retention

Waste document records are retained for a minimum of 37 months from the date of creation, in line with the statutory retention duties that apply: the Hazardous Waste (England and Wales) Regulations 2005, the Special Waste Regulations 1996 in Scotland, and the Hazardous Waste Regulations (Northern Ireland) 2005, together with the duty of care retention for waste transfer notes. This retention applies regardless of whether your account is active or has been cancelled.

11. Intellectual property

The Consigns name, logo, service, software, documentation, and all related intellectual property are owned by Kaizen Web Ltd. Nothing in these terms grants you any rights to our intellectual property except the limited right to use Consigns in accordance with these terms.

11.1. Output ownership

Your data is yours. You retain all rights to the consignment data you input - customer details, waste descriptions, signatures, and any uploaded documents. You may export your data at any time in machine-readable form through your account.

Generated outputs (PDFs, layouts, templates) carry our intellectual property. The signed PDFs, their layout, typography, and field-positioning logic are produced by our software and remain copyrighted to Kaizen Web Ltd. You receive a perpetual, royalty-free, transferable licence to retain, share with regulators (Environment Agency, NRW, NIEA, SEPA), share with your customers, and store the PDFs we generate for you indefinitely. You may not, however, extract our PDF rendering pipeline - including the layout templates, field maps, or rendering logic - and use it to operate a competing service or resell PDF-generation as a service of your own.

You agree not to use Consigns, or any data you obtain through Consigns, to design, build, train, or operate a competing UK hazardous-waste compliance service. This restriction applies for the duration of your subscription and for twelve (12) months after termination. We reserve the right to terminate immediately and without refund if we reasonably conclude that you (or any affiliate, employee, or contractor acting on your behalf) are launching or operating a directly competing product while subscribed.

11.4. Feedback licence

Any feedback, suggestions, or feature requests you provide may be used by us to improve Consigns without obligation, attribution, or compensation. You retain no rights in such feedback once you send it to us.

11.5. Crown copyright and Open Government Licence

The structure of the consignment note (form HWCN01) is based on guidance and templates published by the Environment Agency. Field labels, regulator-prescribed wording, and the European Waste Catalogue codes are Crown copyright information reused under the Open Government Licence v3.0. Consigns is not endorsed by, certified by, or affiliated with the Environment Agency, Natural Resources Wales, the Northern Ireland Environment Agency, the Scottish Environment Protection Agency, or any UK government department. References to "official" status, "approved", or "certified" do not appear on documents we generate, and our footer wording is "Generated by Consigns" - not "official" or "endorsed".

12. Service availability

We use reasonable efforts to keep Consigns available and operational. However, we do not guarantee uninterrupted or error-free service. We may perform scheduled maintenance from time to time, and will endeavour to provide advance notice where possible. We do not offer a formal service level agreement (SLA).

13. Your responsibilities and limitation of liability

13.1. Accuracy of your records is your responsibility

Consigns is a tool that helps you produce documents and records from the information you enter. It does not, and cannot, verify that the information you give it is correct, complete, lawful, or suitable for your waste, your movement, or your circumstances. You are solely responsible for the accuracy and completeness of everything you enter, including waste descriptions, EWC codes, quantities, hazard properties, party details, addresses, and permit and registration numbers.

You must review every document, note, return, invoice, and submission that Consigns produces before you rely on it, sign it, send it, or give it to a regulator, a customer, or anyone else. A consignment note, waste transfer note, tonnage report, invoice, or DEFRA submission produced by Consigns is a draft based on your inputs until you have checked it and chosen to use it. Once you use it, it is your document and your responsibility.

If you believe any document, record, or figure produced by Consigns is wrong in any way, it is your responsibility to stop using it and to tell us promptly through our contact form so we can look into it. Telling us that something looks wrong does not transfer any liability to us, does not make us responsible for the document, and does not relieve you of your own legal duties.

13.2. Compliance and regulatory outcomes are yours

Compliance with waste law is your legal duty, not ours. To the maximum extent permitted by law, we are not liable for any fine, penalty, prosecution, enforcement action, rejected or refused submission, missed deadline, invalid or non-compliant document, or any other regulatory or legal consequence arising from your use of Consigns or from the waste you handle, however it is caused, including where the cause is information you entered, a change in the law or in a regulator's requirements, or a fault, error, or unavailability in the service. Consigns is not endorsed, certified, or approved by any regulator, and using it does not guarantee compliance.

13.3. Third-party services and integrations

Consigns may connect to third-party services, including the DEFRA Digital Waste Tracking service, accounting software such as Xero, mapping providers, and payment providers such as Stripe. We are not responsible for those services and we accept no liability for them. This includes their availability, accuracy, security, pricing, terms, or any act, omission, error, delay, change, rejection, or outage on their part. Where Consigns sends data to or receives data from a third-party service, for example filing a movement with DEFRA or drafting an invoice in Xero, we are not liable for any loss arising from that service being unavailable, changing, refusing or mishandling the data, or processing it incorrectly. Your use of any integration is at your own risk and is also governed by that third party's own terms.

You may permanently delete your account from your account settings. Account deletion is irreversible. Upon deletion, all your data will be permanently removed, subject to our legal obligations to retain consignment note records for the statutory retention period.

16. Governing law

These terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these terms will be subject to the exclusive jurisdiction of the courts of England and Wales.
